1. Introduction

Faceover.ai ("Faceover", "we", "us", "our") is operated by NA2 – Seweryn Maciejewski (M. Dąbrowskiej 13/44, 39-400 Tarnobrzeg, Poland; VAT ID: PL8672240878). These Terms of Use ("Terms") form a binding agreement between you and us.

2. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understand, and agree to these Terms. If you do not agree, you must not use the Service. We may update these Terms from time to time. We will provide appropriate notice for material changes. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

3. Eligibility and Age Requirements

  • You must be at least 13 years old (or 16 in the EU/EEA where a higher threshold applies) to use the Service.
  • Use by minors may require verifiable parental consent where legally required.
  • By using the Service, you represent that you meet these requirements.

4. Accounts and Security

  • You must provide accurate information and keep it up to date.
  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
  • Account sharing is prohibited. We may suspend or terminate accounts for violations of these Terms, suspected fraud, or security risks.

5. Your Content and License to Us

You retain ownership of images, prompts, and other content you upload ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, reproduce, and display your User Content solely as necessary to provide and improve the Service for you (including generating AI results at your request).

We do not guarantee availability of your User Content or generated results. You are responsible for your own backups. For free accounts, we may delete stored results at any time. For paid plans, generated results are available while your paid subscription remains active; however, we do not guarantee permanent availability (see Section 8 and Pricing for plan details).

6. Acceptable Use and Prohibited Content

You agree not to misuse the Service. In particular, you must not upload, generate, share, or use the Service for:

  • illegal content or activity; content involving minors (including CSAM) or exploitation;
  • pornographic/sexual content; explicit nudity; sexualization of persons;
  • hate speech, harassment, threats, or incitement to violence; extremist or terrorist content;
  • deepfakes that materially mislead others (e.g., fabricating statements or events) or harm reputation;
  • invasion of privacy, unlawful processing of personal data, or violating image rights of others;
  • special categories of personal data (e.g., health data, religious beliefs) and other sensitive data – such uploads are prohibited;
  • biometric identification or attempts to identify real persons using the Service;
  • intellectual property infringement, unlawful use of trademarks, or rights of publicity violations;
  • reverse engineering, interfering with or disrupting the Service, or bypassing security or usage limits.

If your User Content includes other people, you are solely responsible for having a lawful basis (e.g., consent) to use their image and data with Faceover.ai and for providing any required notices to them.

7. AI Features and Model Providers

AI outputs can be unpredictable, inaccurate, or contain artifacts. You are responsible for reviewing and using outputs lawfully and responsibly. Depending on the features used, we may send prompts and, where necessary, images to third-party AI providers (including OpenAI, Replicate, OpenRouter, and Microsoft Azure (Azure OpenAI)) to perform model inference. We do not allow providers to use your content to train models reused for other customers. See our Privacy Policy for details.

We use your content for inference only. In the future, we may offer an optional opt-in allowing use of your content to train your own or our models; this would be disabled by default and require your explicit consent.

8. Plans, Credits, Billing, and Merchant of Record

  • Paid plans and usage limits are described on our Pricing page.
  • Plans include a monthly allowance of credits; additional usage may incur overage fees per credit.
  • Polar.sh acts as Merchant of Record (MoR) and seller, processing payments, subscriptions, invoicing, and refunds according to their terms and policies.
  • Subscriptions may auto-renew until canceled. Taxes may apply. Prices and rates may change with prior notice.
  • We store only limited billing data necessary to operate paid features (e.g., transaction ID, plan, status); full payment details are handled by Polar.sh.
  • We do not guarantee permanent availability of generated results; you are responsible for backups. For free plans, we may delete stored results at any time.

9. Intellectual Property

The Service, including software, design, and trademarks (e.g., "Faceover.ai"), is owned by us or our licensors and protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service. All rights not expressly granted are reserved.

10. Moderation and Enforcement

We may use automated systems and, in limited cases, manual review to detect and prevent abuse. We may remove content, suspend, or terminate accounts that violate these Terms. We may retain relevant data longer than usual if required to report to authorities or defend against claims.

Notice & Takedown

If you believe content available via the Service infringes your rights or is unlawful, please email hello@faceover.ai with sufficient details to identify the material, the location (URL or in-app reference), and your rights. We may remove or disable access to the content and, where appropriate, notify the user who provided it.

11. Third-Party Services

The Service may integrate third-party tools (e.g., AI providers, analytics, email, payment processors). We are not responsible for third-party services or their terms and policies. Your use of third-party services is subject to their respective terms. See our Privacy Policy for details.

12. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that results will meet your expectations.

No Professional Advice

Information, content, and AI-generated outputs provided by the Service do not constitute legal, medical, financial, or other professional advice. You are solely responsible for evaluating the accuracy, legality, and suitability of outputs and for any decisions you make based on them.

Force Majeure

We are not liable for any delay or failure to perform due to events beyond our reasonable control, including outages or degradation of third-party infrastructure or providers, acts of God, war, terrorism, labor disputes, governmental actions, or internet/network failures.

Export Control and Sanctions

You represent that you are not subject to export restrictions or sanctions and will not use the Service in violation of applicable export control or sanctions laws. You agree not to export, re-export, or transfer the Service in breach of such laws.

Beta or Experimental Features

Certain features may be offered as beta or experimental and are provided "AS IS" without any commitment to availability, quality, support, or continued provision.

13. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, data, goodwill, or other intangible losses, arising from or related to your use of (or inability to use) the Service. Our aggregate liability for all claims shall not exceed the amounts paid by you to us (if any) for the Service in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law. If you act as a consumer, your statutory rights remain unaffected by these Terms.

14. Indemnification

You agree to indemnify and hold harmless Faceover and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms or applicable law.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Poland, without regard to conflict of law principles. The courts of Warsaw, Poland shall have exclusive jurisdiction, except that consumers may bring claims before the courts of their place of residence where mandatory consumer protection laws so provide.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through appropriate channels (e.g., in-app notice, email, or by updating the "Last updated" date below). Your continued use of the Service after changes take effect signifies your acceptance of the updated Terms.
